Terms of Service
1. Agreement Overview
This Agreement is entered into between you (the "Customer" or "You") and stanzaflex Technologies Private Limited ("stanzaflex," "we," "us," or "our"), a company incorporated under the laws of India with its registered office at Bengaluru, Karnataka.
By creating an account or using our Services, you confirm that you are legally authorized to enter into binding agreements and that you will comply with all applicable laws and regulations in India and your jurisdiction.
2. Description of Services
stanzaflex provides a cloud-based Property Management System designed for hospitality businesses. Our Services include:
- Reservation and booking management
- Channel distribution and OTA connectivity
- Revenue management and dynamic pricing
- Guest communication and experience tools
- Billing, invoicing, and payment processing
- Analytics, reporting, and business intelligence
- Mobile applications and offline access capabilities
You are responsible for maintaining internet connectivity, using compatible devices, and securing your login credentials to access the Services.
3. Beta and Experimental Features
stanzaflex may offer certain features on a beta or experimental basis for testing and feedback purposes. These features are provided "as-is" without warranties of any kind. We reserve the right to modify, discontinue, or fully release beta features at our sole discretion without prior notice or liability.
Participation in beta programs is voluntary and may require acceptance of additional terms or confidentiality agreements.
4. Free Trial Terms
If you register for a free trial, access to the Services will be granted for a limited evaluation period as specified during registration. Free trials typically include:
- Access to core PMS features for up to 10 rooms
- Limited or no access to premium features
- Trial period of 14 days unless otherwise specified
All data entered during the trial may be permanently deleted upon trial expiration unless you upgrade to a paid subscription or export your data beforehand. We will provide reasonable notice before data deletion.
5. Account Registration and Security
Access to stanzaflex requires registration with accurate and complete information. Business accounts should be registered using official corporate contact details. You agree to:
- Provide truthful and accurate registration information
- Keep your account information current and updated
- Maintain confidentiality of your password and credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
We reserve the right to suspend or terminate accounts that provide false, inaccurate, or misleading information.
6. Acceptable Use and Restrictions
You agree not to:
- Resell, transfer, or sublicense the Services to third parties
- Reverse engineer, decompile, or extract source code
- Use the Services to transmit spam, malware, or viruses
- Engage in unlawful activities including fraud or phishing
- Violate intellectual property rights
- Attempt unauthorized access to our systems or infrastructure
- Use the Services for competitive analysis or benchmarking
- Overload or disrupt our systems through excessive API calls
Accounts found in violation may be immediately suspended or terminated without refund.
7. Content and Data Responsibility
You are solely responsible for all content, data, and communications transmitted through the Services. You must ensure compliance with:
- The Information Technology Act, 2000 and subsequent amendments
- Personal Data Protection laws in India
- Consumer Protection Act, 2019
- GST and tax regulations
- Industry-specific hospitality regulations
stanzaflex reserves the right to remove or disable access to content that violates these Terms or applicable laws.
8. Third-Party Integrations
stanzaflex integrates with various third-party services including but not limited to:
- Online Travel Agencies (Booking.com, Airbnb, Expedia, MakeMyTrip)
- Payment gateways (Stripe, Razorpay, PayPal)
- Accounting software (Tally, QuickBooks, Xero)
- Communication platforms (WhatsApp Business, SMS providers)
Use of such integrations requires acceptance of the respective third-party terms and policies. We are not responsible for the performance, availability, or security of third-party services and may disable integrations at our discretion.
9. Subscription Plans and Billing
Paid subscription plans are billed on a recurring basis (monthly or annually) as selected during registration:
- Subscriptions automatically renew unless canceled 7 days prior to renewal
- All fees are exclusive of applicable taxes including GST (18% currently)
- Pricing may be updated with 30 days' notice
- Changes affect renewals only, not current billing cycles
- Payments are non-refundable except as required by law
Failed payments may result in service suspension. You are responsible for maintaining valid payment methods.
10. Organization Accounts and Administrators
For multi-user business accounts, designated administrators manage user access, permissions, and system configuration. You are responsible for:
- Appointing qualified and trustworthy administrators
- Protecting administrative credentials
- Managing user roles and permissions appropriately
- Compliance with data access policies
stanzaflex is not liable for internal account management issues or unauthorized access resulting from compromised admin credentials.
11. Data Ownership and Usage Rights
You retain full ownership of all data and content created, uploaded, or stored within the Services. stanzaflex:
- Does not claim ownership of your proprietary data
- Will not use your data for commercial purposes
- Is granted limited rights solely to operate and improve Services
- May use aggregated, anonymized data for analytics
You grant stanzaflex a worldwide, non-exclusive license to host, store, and process your data as necessary to provide the Services.
12. Data Hosting and Location
Your data may be hosted in data centers located in India or other jurisdictions as determined by our infrastructure requirements. Current primary data centers:
- Mumbai, India (Primary)
- Singapore (Backup and redundancy)
We may migrate data between facilities to ensure optimal performance and reliability. You agree not to mask your IP address or provide false location information during registration.
13. Service Level and Uptime
We strive to maintain 99.9% uptime for paid accounts, excluding scheduled maintenance. Scheduled maintenance will be announced 48 hours in advance when possible. We do not guarantee 100% uptime and are not liable for temporary service interruptions.
14. Inactive and Unpaid Accounts
Accounts that remain inactive or unpaid for extended periods may be suspended or terminated:
- Unpaid accounts: 30 days after payment failure
- Inactive free accounts: 180 days of no login activity
- Trial accounts: Immediately after trial expiration
We will provide email notice before termination. Upon termination, all associated data may be permanently deleted within 30 days.
15. Disclaimer of Warranties
The Services are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted, error-free, or secure operation
- Accuracy or completeness of data
Your use of the Services is at your sole risk.
16. Limitation of Liability
To the maximum extent permitted by law, stanzaflex shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption or system downtime
- Third-party claims or actions
Our total liability is limited to the lesser of ₹50,000 or the fees paid by you during the twelve months preceding the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless stanzaflex, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:
- Your use or misuse of the Services
- Violation of these Terms
- Infringement of third-party rights
- Your content or data
- Breach of applicable laws
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
Before initiating legal proceedings, parties agree to attempt good-faith resolution through written negotiation for 30 days.
19. Account Suspension and Termination
We may suspend or terminate your account for:
- Violations of these Terms
- Legal or regulatory requirements
- Security concerns or fraudulent activity
- Extended inactivity or non-payment
You may terminate your account at any time through account settings or by contacting support. Upon termination:
- You lose access to the Services immediately
- Your data may be retained for 30 days for recovery
- After 30 days, data is permanently deleted
- No refunds are provided for remaining subscription periods
20. Modifications to Terms
stanzaflex reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through the Services at least 30 days before the changes take effect. Your continued use of the Services after such notice constitutes acceptance of the updated Terms.
